Welcome to Smart Settlements, LLC ("Smart Settlements," "we," "us," or "our"). By accessing or using our website at smartsettlements.com, our services, or by communicating with us via telephone, email, or text message, you ("you" or "User") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you and Smart Settlements, LLC. Please read them carefully before using our services.

2. Description of Services

Smart Settlements provides real estate settlement services, including but not limited to:

• Title searches and title insurance
• Real estate settlement and closing services
• Virtual and in-person closings
• Escrow services
• Related real estate transaction support

We serve clients in the District of Columbia, Maryland, Virginia, and Florida. Smart Settlements is affiliated with Smart Lending LLC (smartlendingllc.com).

3. User Responsibilities

By using our services, you agree to:

• Provide accurate, current, and complete information as required for your real estate transaction
• Respond to requests for documentation and information in a timely manner
• Review all settlement documents carefully before signing
• Comply with all applicable federal, state, and local laws and regulations
• Not use our website or services for any unlawful or unauthorized purpose
• Not attempt to interfere with the proper functioning of our website or systems

4. Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, and software, is the property of Smart Settlements, LLC or its licensors and is protected by United States copyright, trademark, and other intellectual property laws.

"We Don't Just Close, We Open Doors®" is a registered trademark of Smart Settlements, LLC. You may not use, reproduce, or distribute any content from our website without our prior written consent.

5. Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the practices described in our Privacy Policy.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SMART SETTLEMENTS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR WEBSITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid to Smart Settlements, LLC for the specific service giving rise to the claim.

Our website and its contents are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Indemnification

You agree to indemnify, defend, and hold harmless Smart Settlements, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of our website or services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any information you provide to us that is inaccurate, incomplete, or misleading.

8. SMS/Text Messaging Terms

The following terms apply to the Smart Settlements SMS messaging program. By opting in to receive text messages from Smart Settlements, you agree to the terms set forth in this section in addition to all other provisions of these Terms and Conditions.

8.1 Program Description

Smart Settlements sends SMS appointment reminders and settlement status updates to clients who have provided explicit consent via our website contact form. These messages are strictly transactional in nature and may include:

• Appointment reminders for upcoming settlement appointments and scheduling changes
• Settlement status updates regarding your transaction, document readiness, and closing progress
• Important notifications related to your title and settlement services

No marketing or promotional messages are sent through this program.

8.2 Consent and Opt-In

Consent to receive text messages may be provided through the following methods:

• Web form: By visiting smartsettlements.com/contact, entering your mobile phone number, and checking the opt-in checkbox before submitting the form. The checkbox reads: 'By providing my phone number above, I agree to receive SMS text messages from Smart Settlements about real estate settlements, closing updates, and transaction reminders (up to 4–8 messages per month). Message and data rates may apply. Reply STOP to cancel, HELP for help. See our Privacy Policy and SMS Terms & Conditions.'

Consent to receive text messages is not required as a condition of purchasing any goods or services.

8.3 Message Frequency

Message frequency varies based on your transaction status and activity. You may receive up to 4–8 messages per month. You may receive more messages during active phases of your settlement process, such as around scheduled closing dates.

8.4 Message and Data Rates

Message and data rates may apply. Please contact your mobile carrier for details about your text messaging plan and any associated charges.

8.5 Opt-Out

You may opt out of receiving text messages at any time by replying STOP to any SMS message you receive from Smart Settlements. You will receive one confirmation message acknowledging your opt-out request. After opting out, you will no longer receive text messages from Smart Settlements unless you re-enroll.

8.6 Re-Enrollment

If you have opted out and wish to resume receiving text messages from Smart Settlements, you may re-enroll by any of the following methods:

• Reply START to any previous message from Smart Settlements
• Complete a new in-person signup form at any of our offices
• Submit a new opt-in request via the web form at smartsettlements.com/contact

8.8 Carrier Liability Disclaimer

The Smart Settlements SMS program is not sponsored, endorsed, or affiliated with any mobile carrier. Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and is not guaranteed.

8.9 No Sharing of Mobile Information

No mobile information — including phone numbers, text messaging originator opt-in data, and consent — will be shared with third parties or affiliates for marketing or promotional purposes. This information will not be shared with any third parties, excluding aggregators and providers of the text messaging services used to operate this program.

8.10 Privacy

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Arlington County, Virginia, and you consent to the personal jurisdiction of such courts.

10. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services, you agree to first attempt to resolve the matter informally by contacting us at info@smartsettlements.com. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in Arlington, Virginia.

Any arbitration shall be conducted on an individual basis and not as a class action or other representative proceeding. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Smart Settlements, LLC.

11. Modifications to Terms

Smart Settlements reserves the right to modify or update these Terms at any time at our sole discretion. Changes will be effective upon posting to our website. Your continued use of our website or services, or your continued receipt of text messages, after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

12. Termination

We reserve the right to suspend or terminate your access to our website or services at any time, with or without cause and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property provisions, limitations of liability, and indemnification obligations.

13. Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent of the original provision.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Smart Settlements, LLC with respect to your use of our website and services, and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
